These Terms of Service (“Terms”) govern your access to and use of stellalife.com, any related pages, accounts, features, and online store (collectively, the “Site”), and your purchase of products through the Site. The Site is operated by StellaLife, Inc. (“StellaLife,” “we,” “us,” or “our”).

By accessing or using the Site, creating an account, or submitting an order, you agree to these Terms. If you do not agree, do not use the Site or place an order. If you use the Site on behalf of a business or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

These Terms incorporate StellaLife's Privacy Policy, Return Policy and Shipping Policy (collectively, the “Policies”). If a Policy conflicts with these Terms on the specific subject addressed by that Policy, the Policy controls. Please read these Terms and the Policies carefully.

A separately signed professional-account, distributor, reseller, wholesale, or other agreement with StellaLife will control over these Terms to the extent of a conflict.

1. ELIGIBILITY AND ACCOUNTS

You must be at least the age of majority in your jurisdiction to create an account or place an order. A parent or legal guardian may permit a minor to use the Site only under the parent’s or guardian’s supervision and remains responsible for that use.

You must provide accurate, current, and complete account and order information and promptly update it as needed. You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly at support@stellalife.com if you suspect unauthorized access or use. You may not impersonate another person, create an account using false information, or use another person’s account without permission.

2. PRODUCT INFORMATION; HEALTH AND SAFETY

The Site provides general product and educational information only. It is not medical or dental advice and is not a substitute for professional diagnosis, treatment, or advice. Consult a qualified healthcare professional regarding questions about a medical or dental condition, treatment, medication, or whether a Product is appropriate for you. Seek immediate medical attention for an emergency.

Always read and follow the Product label, directions, warnings, expiration information, and storage instructions before use. Do not use a Product if its packaging or tamper-evident seal appears opened, altered, or damaged, or if the Product is expired. Discontinue use and consult a healthcare professional if you experience an adverse reaction. You may also report a suspected adverse reaction or quality concern to StellaLife using the contact information below.

Product benefits and results vary by person. Statements identified as based on traditional homeopathic practice are not accepted medical evidence and have not been evaluated by the U.S. Food and Drug Administration. The regulatory status, required disclosures, ingredients, directions, and warnings for each Product are those stated on its label and applicable Product page.

We may issue safety communications, corrections, withdrawals, or recall notices. You agree to provide accurate contact information with your order and to follow any applicable notice regarding a Product in your possession.

3. PRODUCT DESCRIPTIONS AND AVAILABILITY

We make reasonable efforts to describe and display Products accurately. Packaging, colors, images, sizes, ingredients, formulations, features, and availability may change, and displays may vary by device. Product descriptions are subject to correction and do not override the Product label. We may limit or discontinue Products, quantities, promotions, or sales to any person or geographic area, subject to applicable law.

4. ORDERS AND ACCEPTANCE

Your order is an offer to purchase. An order confirmation acknowledges receipt but does not by itself constitute acceptance. We may accept an order by shipping the Product or otherwise expressly confirming acceptance. We may reject, limit, or cancel an order before shipment for reasons including unavailability, pricing or description errors, suspected fraud, payment issues, legal or geographic restrictions, or suspected resale or diversion. If we cancel an order after payment, we will refund the amount charged for the canceled portion.

We may impose per-person, per-household, per-account, per-payment-method, or per-address quantity limits. You may not evade limits by using multiple accounts, identities, payment methods, billing addresses, or shipping addresses. Products may be purchased and shipped only to locations we then serve.

5. PRICES, PAYMENT, TAXES, AND PROMOTIONS

Prices and promotions are subject to change before we accept an order. We may correct errors and cancel affected orders as permitted by law. Unless stated otherwise, prices exclude applicable taxes and shipping charges. You are responsible for charges shown at checkout, including applicable sales, use, excise, or similar taxes.

You represent that you are authorized to use the payment method submitted and authorize us and our payment processors to charge all amounts due. Promotions, discounts, coupon codes, and offers are subject to their stated terms, may not be combined unless permitted, and may be modified or withdrawn as allowed by law.

6. SHIPPING AND DELIVERY

Shipping destinations, methods, charges, estimated processing times, and delivery estimates are described in the Shipping Policy and at checkout. Delivery dates are estimates, not guarantees. You are responsible for providing a complete and accurate delivery address. Contact us promptly about a missing, damaged, or incorrect shipment. Risk of loss and title pass as provided by applicable law.

7. RETURNS AND 100% MONEY-BACK GUARANTEE

StellaLife’s 100% Money-Back Guarantee, returns of unopened and unused Products, refund processing, exclusions, and related procedures are governed by the Return Policy in effect when you place your order, except where applicable law requires otherwise. Under the Return Policy, if you are not completely satisfied with a Product purchased directly through the Site for any reason, StellaLife will refund 100% of the Product purchase price, including applicable sales tax, if you submit your request within thirty (30) days after purchase. The Guarantee applies whether the Product is unopened, opened, or used, and you are not required to provide a reason. Original shipping charges are not refundable except as stated in the Return Policy or required by law.

If you have not used a Product and prefer to return it, the Return Policy provides a separate process for returning the Product within thirty (30) days after purchase if it remains unopened and unused, in its original packaging, with all seals and tamper-evident features intact. Purchases from an authorized third-party seller are subject to that seller’s return policy, and professional, wholesale, distributor, or reseller purchases are governed by the applicable account terms or separate agreement.

StellaLife may be unable to verify the authenticity, condition, chain of custody, storage, or handling of Products obtained from unauthorized sellers. Accordingly, the Guarantee, returns, replacements, or other voluntary support may be unavailable for such Products, subject to applicable law and any applicable written warranty.

8. PERSONAL USE; PROHIBITION ON RESALE

Unless StellaLife expressly authorizes you in a separate written agreement, Products purchased through the Site are sold solely for the personal or household use of the end user and may not be purchased for resale or other commercial distribution. A noncommercial gift of an unopened Product to an individual end user is permitted. Dental professionals and other business customers may dispense, sell, or distribute Products only if StellaLife has expressly authorized them to do so through an approved professional account or separate written agreement and only in compliance with that authorization and applicable law.

Without StellaLife’s prior written authorization, you may not: (a) resell, offer, list, advertise, or distribute any Product through a retail store, professional practice, website, online marketplace, auction platform, social-media channel, or other commercial channel; (b) sell or transfer Products to another reseller, broker, distributor, exporter, or commercial buyer; (c) repackage, relabel, refill, alter, adulterate, bundle, or separate a Product, or remove, obscure, or alter any label, lot code, expiration date, warning, instructions, trademark, serial or tracking information, or tamper-evident feature; or (d) store, transport, market, or make claims about a Product in a manner inconsistent with its label, applicable law, or StellaLife’s written instructions.

This restriction is intended to protect consumers and Product integrity by helping StellaLife maintain appropriate storage and handling conditions, prevent counterfeit, diverted, tampered-with, altered, or expired Products from reaching consumers, preserve lot and distribution traceability for safety notices and recalls, and provide accurate product information and support through accountable channels. It is a quality-control and consumer-safety measure and is not intended to control the resale price charged by any independently authorized seller.

Unauthorized resale or distribution is a material breach of these Terms. We may reject or cancel suspected orders, limit quantities, suspend or close accounts, decline future transactions, and pursue other available remedies. No failure to enforce this Section in one instance waives our right to enforce it later.

9. LIMITED LICENSE; INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, images, videos, product names, logos, trademarks, trade dress, designs, compilations, software, and other materials, are owned by or licensed to StellaLife and are protected by intellectual-property laws. Subject to these Terms, StellaLife grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for lawful, personal, noncommercial purposes.

Except as expressly permitted in writing, you may not reproduce, modify, create derivative works from, distribute, publicly display, publish, sell, license, frame, mirror, or commercially exploit the Site or its content; remove proprietary notices; or use StellaLife’s names, marks, images, or product listings in a manner likely to cause confusion regarding source, sponsorship, affiliation, or authorization. No rights are granted by implication.

10. REVIEWS, FEEDBACK, AND OTHER USER CONTENT

If you submit a review, testimonial, image, video, question, feedback, idea, or other content (“User Content”), you grant StellaLife and its affiliates a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, adapt, translate, publish, distribute, display, perform, and create derivative works from that User Content in any media, subject to our Privacy Policy and applicable law. Feedback and ideas are not confidential, and we are not obligated to use or compensate you for them.

You represent that you own or control the rights needed for your User Content and that it is truthful, based on your genuine experience, and does not violate law or another person’s rights. If you received payment, free products, discounts, or another material benefit connected with User Content, you must clearly disclose that connection as required by law. You may not submit false, misleading, defamatory, infringing, unlawful, abusive, or obscene content, malware, personal information about another person without permission, or unsubstantiated medical or product claims. We may monitor, refuse, edit, or remove User Content, but are not obligated to do so.

11. ACCEPTABLE USE

You may not use the Site to violate law or another person’s rights; interfere with the Site or another user; introduce malware or harmful code; bypass security or access controls; probe, scan, or test vulnerabilities without authorization; scrape, crawl, harvest, or collect data through automated means except as permitted by applicable law or our written authorization; send spam or deceptive communications; impersonate another person; reverse engineer Site software except where a statutory right cannot be waived; use bots or automated means to purchase Products or circumvent quantity limits; or assist another person in doing any of the foregoing.

12. THIRD-PARTY SERVICES AND LINKS

The Site may use or link to third-party platforms, payment processors, shipping providers, social networks, tools, content, or websites. Shopify provides the e-commerce platform used by the Site. Third-party services are governed by their own terms and privacy practices. To the fullest extent permitted by law, StellaLife is not responsible for third-party services, content, availability, security, acts, or omissions. A link does not imply endorsement.

13. PRIVACY AND ELECTRONIC COMMUNICATIONS

Our collection, use, and disclosure of personal information are described in the Privacy Policy. By using the Site or placing an order, you consent to receive transactional communications electronically, including order confirmations, receipts, shipping notices, safety notices, and account communications. Marketing communications are subject to any separate consent requirements and applicable opt-out rights.

14. SITE AVAILABILITY; ERRORS; CHANGES

We may maintain, modify, suspend, withdraw, or discontinue any part of the Site at any time, subject to applicable law. We do not guarantee uninterrupted, secure, or error-free operation. The Site may contain typographical, pricing, availability, product-description, shipping, or other errors or omissions. We may correct them and update information, and may cancel affected orders and issue refunds as permitted by law.

15. DISCLAIMER OF WARRANTIES

EXCEPT FOR ANY EXPRESS WARRANTY OR GUARANTEE STATED ON A PRODUCT LABEL, PRODUCT PAGE, OR APPLICABLE POLICY, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STELLALIFE DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. STELLALIFE DOES NOT WARRANT THAT THE SITE OR CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY PRODUCT WILL ACHIEVE A PARTICULAR HEALTH OR OTHER RESULT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. THESE TERMS DO NOT LIMIT ANY NONWAIVABLE CONSUMER WARRANTY OR OTHER STATUTORY RIGHT.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, STELLALIFE AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR A PRODUCT, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF STELLALIFE AND THE OTHER PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR A PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STELLALIFE THROUGH THE SITE FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, WHICH MAY INCLUDE LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, DEPENDING ON APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless StellaLife and its parents, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from third-party claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to: (a) your material breach of these Terms or the Policies; (b) your unlawful use of the Site or a Product; (c) your User Content; (d) your infringement or violation of another person’s rights; or (e) your unauthorized resale, distribution, alteration, relabeling, repackaging, storage, transport, marketing, or other commercial use of a Product. StellaLife may control the defense and settlement of a covered claim, and you will reasonably cooperate. StellaLife will not settle a claim in a manner that admits your liability or imposes nonmonetary obligations on you without your consent, not to be unreasonably withheld.

18. SUSPENSION AND TERMINATION

You may stop using the Site at any time. We may suspend or terminate your access, restrict an account, or cancel pending orders if we reasonably believe you violated these Terms, pose a fraud, security, safety, legal, or operational risk, or engaged in unauthorized resale or diversion. Termination does not affect rights or obligations accrued before termination. Provisions that by their nature should survive termination will survive, including those concerning payments, intellectual property, User Content licenses, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous terms.

19. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to them, the Site, or a purchase through the Site are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to any nonwaivable right under applicable consumer law, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction, and you and StellaLife consent to personal jurisdiction and venue there. Nothing in this Section prevents either party from bringing an eligible claim in small-claims court or seeking temporary or injunctive relief to protect intellectual property, confidential information, Site security, or Product safety.

20. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post the revised Terms on the Site, update the “Last updated” date, and provide any additional notice required by law. Changes apply prospectively from the stated effective date. The Terms in effect when we accept an order will govern that order. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

21. MISCELLANEOUS

These Terms and the Policies constitute the entire agreement between you and StellaLife regarding the Site and purchases through it, except for any separately signed agreement. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; StellaLife may assign them in connection with a merger, reorganization, sale of assets or equity, or by operation of law. The headings are for convenience only. “Including” means “including without limitation.”
